- "Services" refers to the consulting engagements offered by Astrolade, including Hiring Process Review, Performance Conversation Framework, and Cultural Reset Working Sessions, as described on this website and in individual engagement scope documents.
- "Website" refers to the Astrolade website accessible at the domain where these terms are published.
- "User", "you", "your" refers to any individual or organisation accessing this website or engaging Astrolade for services.
- "Agreement" refers to these Terms and Conditions, together with any engagement scope document agreed between the parties.
- "Content" refers to all materials published on this website, including text, design elements, and documents.
2. Acceptance of Terms
By accessing or using this website, or by entering into an engagement with Astrolade, you confirm that you have read, understood, and agree to these Terms and Conditions. If you do not agree, please do not use this website or engage our services.
Our services are directed at organisations and business professionals. By engaging with us, you confirm that you are aged 18 or above and have the authority to enter into a binding agreement on behalf of yourself or your organisation.
3. Services
Astrolade provides business consulting services in the areas of hiring process review, performance conversation design, and organisational culture. Specific services are described on this website and, where applicable, in a written scope document agreed with the client prior to the commencement of work.
Services are primarily available to organisations based in Thailand. We may accept engagements from organisations outside Thailand at our discretion. We do not guarantee that website content is appropriate or available in every jurisdiction.
The availability of specific services may change over time. We will make reasonable efforts to communicate any significant changes.
4. User Responsibilities
When using this website or engaging our services, you agree to:
- Provide accurate and complete information when submitting enquiries or entering into an engagement.

You are granted a limited, non-exclusive, non-transferable licence to access and view this website for personal or internal business purposes. This licence does not permit reproduction, distribution, or modification of any content without prior written consent from Astrolade.
Deliverables produced in the course of a consulting engagement — such as reports, frameworks, and written agreements — are provided to the client for their use under the terms of the relevant engagement agreement. Unless otherwise agreed in writing, Astrolade retains the underlying methodologies and approaches used in producing such deliverables.
6. Payment Terms
Service fees are as described in the engagement scope document agreed with the client. Prices on this website are indicative and expressed in Thai Baht (THB). Final pricing is confirmed in the engagement scope document.
Payment terms, invoicing schedules, and accepted payment methods are set out in the engagement scope document. Unless otherwise agreed, invoices are payable within 14 calendar days of issue.
Requests to amend the scope of an engagement after commencement may be subject to additional fees, which will be discussed and agreed in advance.
Where an engagement is cancelled by the client after commencement, fees may be due for work completed to the date of cancellation, in accordance with the terms set out in the engagement scope document.
7. Service-Specific Terms
All consulting engagements with Astrolade are subject to the following general conditions:
- Scope: The scope of each engagement is defined in a written scope document agreed prior to commencement. Work outside the agreed scope is not included unless separately agreed.
- Timeline: Indicative timelines are set out in the scope document. Delays arising from the client's inability to make personnel or materials available may affect delivery timelines.
- Confidentiality: Information shared by the client in the course of an engagement is treated as confidential and will not be disclosed to third parties, except as required by law or with the client's consent.
- Deliverables: Deliverables are provided to the client as described in the scope document. The client is responsible for deciding whether and how to implement any recommendations.
- No employment relationship: Astrolade operates as an independent contractor. Nothing in these Terms creates a relationship of employment, partnership, or agency between the parties.
8. Disclaimers
This website and its content are provided on an "as is" basis. Astrolade makes no warranties, express or implied, regarding the accuracy, completeness, or fitness for purpose of any content on this website.
Consulting services represent the professional opinion and observations of Astrolade based on the information available during an engagement. We do not warrant specific outcomes as a result of following any recommendations, and clients remain responsible for their own organisational decisions.
Nothing on this website or in our engagements constitutes legal, financial, medical, or other regulated professional advice. Where specialist regulated advice is required, clients should seek appropriately qualified professionals.
9. Limitation of Liability
To the extent permitted by Thai law, Astrolade's total liability to any client or website user in connection with any engagement or use of this website shall not exceed the total fees paid by that client for the relevant engagement, or THB 50,000 where no fees have been paid.
Astrolade shall not be liable for: indirect or consequential loss; loss of revenue, profit, or business opportunity; loss of data or information; or any loss arising from events outside our reasonable control (force majeure).
Nothing in these Terms limits liability for death, personal injury, or fraud caused by our negligence.
10. Indemnification
You agree to indemnify, defend, and hold harmless Astrolade and its personnel from any claims, losses, or expenses (including reasonable legal costs) arising from your use of this website, your breach of these Terms, or any misrepresentation made by you in connection with an engagement.
11. Termination
Either party may terminate a consulting engagement as described in the relevant engagement scope document. Astrolade reserves the right to suspend access to this website or decline to enter into an engagement with any party, without obligation to provide reasons.
On termination of an engagement, provisions relating to intellectual property, confidentiality, payment for work completed, and limitation of liability shall survive.
12. Dispute Resolution and Governing Law
These Terms are governed by the laws of Thailand. Any dispute arising in connection with these Terms or an engagement with Astrolade shall be subject to the exclusive jurisdiction of the Thai courts.
Before commencing formal proceedings, the parties agree to make a good-faith effort to resolve any dispute informally. Either party may initiate this process by giving written notice describing the nature of the dispute to [email protected]. The parties will meet or correspond within 14 days of such notice to attempt to reach a resolution.
13. General Provisions
- Entire agreement: These Terms, together with any engagement scope document, constitute the entire agreement between the parties regarding the subject matter and supersede any prior communications.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force.
- Waiver: Failure to enforce any provision shall not constitute a waiver of the right to enforce it in the future.
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. Astrolade may assign its rights in connection with a business transfer or restructuring.
- Notices: Formal notices under these Terms should be sent in writing to the address or email set out in section 15.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page. Continued use of this website or engagement of our services after changes are posted constitutes acceptance of the updated Terms. We encourage you to review this page periodically.
